Rolling close or hard close: how the money should come in

A rolling close funds the company as investors sign. A hard close waits until the round is full, then wires. One optimizes cash. The other optimizes a clean story. The wrong choice is the one that leaves payroll waiting on a maybe, or leaves a half-full priced round hanging in the market.

Use a rolling close when

You are on SAFEs or notes, angels are coming in over weeks, and you need cash to operate. The cap table drips in. Later investors see who already closed. Keep one instrument and one cap story or the counsel bill and the table both get messy.

Hard close

Use a hard close when

A lead is setting terms, you need one announcement, or you do not want a half-full priced round sitting in the market. One date, one set of docs, one wire. Better signaling. You must have the cash to wait for that date.

Cash is a close decision

If the next payroll needs the first checks, roll. If you can wait and the lead needs a full round to set price and governance, hold the date. We look at the 13-week cash view before we recommend either. A hard close with three weeks of cash is not discipline. It is a bet.

Keep one instrument if you roll

Mixing paper mid-roll — a new cap, a note beside a SAFE, a side letter that only the late checks get — is how you spend the next priced round explaining history. If economics have to change for a late check, write down why you can explain it later.

A hybrid is operational work

Some teams roll early SAFE checks while a priced lead is still in diligence. That can work. It is two processes, two calendars, and two stories. Do not run it without someone watching the books and the cap table every week.

Can we roll and then hard-close the last piece?
Yes. Just do not change economics for the late checks without a reason you can explain. Inconsistent paper is what diligence reads as sloppy, not clever.
Does a rolling close look weak?
Not if the first checks are real and the terms are consistent. It looks weak when the round never ends and the cap keeps moving.
How long should a hard-close window run?
Long enough for counsel and wires, short enough that the lead’s urgency is real. If the window keeps slipping, the round is telling you something. Update the cash forecast the same day.
