Pre-seed vs seed: which raise are you actually running?

The labels slipped. Plenty of seeds are pre-seeds with better branding. The distinction that matters is proof: are you raising to find the thing, or to fund a thing that already works a little? Call the round what it is. The wrong label wastes meetings. The wrong books waste the ones that show up.

Team, problem, early product. Checks are smaller. Paper is usually a SAFE or note. Diligence is light. The finance job is a clean books-and-cash picture, not a board pack. You are raising to learn, not to scale a motion you already have.

Some traction you can show twice. Larger checks. Still often SAFE-heavy, sometimes a priced seed. You should be able to say what the money buys and when you would need an A. The books should be reconciled, current, and boring.

Raise the round you are in

If you cannot describe the use of funds in one page, you are not under-marketed. You are early. A small raise labeled seed will get passed by seed leads who expected proof. A real seed labeled pre-seed will leave money on the table. We help operators match the story to the numbers they actually have.

What the finance system has to do

At pre-seed, know cash, know what you promised, and do not surprise yourself with the cap table. At seed, the same — plus a forecast you can defend and a close process that does not invent balances. Surprise accounts do not survive a serious seed lead.

How long the money should last

Long enough to reach the next proof, with room for the next raise to be late. We plan seed and pre-seed runway as if the following round slips. Most companies do not get every label they put on the deck.

Can I skip pre-seed?
Yes, if customers or revenue already answer the first questions. Then you are not skipping. You are naming the round you are actually in.
What should the books look like at seed?
Reconciled, current, and boring. Surprise balances do not survive a serious seed lead. If you cannot produce a clean cash picture, fix that before you add meetings.
Can the same investors do both?
Sometimes. Do not assume a pre-seed check is a seed lead. Ask what they need to see next, and put those numbers on a calendar.
