Corporate VC vs traditional VC: a balance sheet versus a return engine

A traditional VC is paid to return capital to LPs. A corporate VC is paid, at least in part, to bring the parent something — a window, a customer, a future deal. That second job shows up in the close: slower approvals, extra rights, and questions that are not only about growth. Take the money if the parent is a customer you want. Do not take it as if it were a normal seed lead.

The parent is a real distribution or product partner, you can live with a longer process, and counsel has read the strategic rights. Useful as a slice of a round. Dangerous as the only lead if you needed speed and a clean cap table.

Traditional VC

Use traditional VC when

You need a lead whose job is the round: price, syndicate, board. Faster once they are in, compared with most corporate committees. They will still want numbers that match the books.

Rights that are not about price

ROFRs, information that flows to a competitor, a seat that is really a watching brief — those belong in the model as much as the percentage. We have seen ‘strategic’ checks that made the next financial lead walk. Put the side letter next to the cap table.

The calendar is a cash-flow item

Corporate approvals slip. If payroll depends on their IC, you do not have a strategic partner. You have a hostage. Keep enough cash to wait, or keep a financial lead who can close without them.

Both can sit in one round

A financial lead plus a corporate check on the same paper is a grown-up stack. Corporate-only with special terms is how later funds ask why they should go second. We help keep the economics consistent.

Some will, if the rights look like a competitor in the room. Clean paper and a real financial lead reduce that.
