Board of Directors vs Advisors

A board has duties. Advisors have opinions, and usually a small grant. Founders collect ‘advisory boards’ that look like governance and are not. Investors will ask who can actually fire the CEO and who just takes a call. Name the seats correctly. Put the grants on the cap table. Send the board a pack that matches the close.
Board of directors
Fiduciary oversight, major approvals, and — after a priced round — usually a lead in the room. Minutes, a pack, a cadence. This is not a Slack channel. The finance system has to produce numbers the directors can rely on.
Advisors
Specific help: intros, a domain, a few hours a month. Paper them with a simple agreement and a grant you have modeled. They do not vote the company. Do not pretend they do on the website.
A SAFE round may not. A Series A usually does. Plan the reporting before the first meeting: monthly close, cap table, cash. We have seen first boards get a deck and no financials. That is how trust dies in quarter one.
A percent here and a percent there is how the pool disappears before you hire. Standard small grants, vesting, a cliff. Put them on the same sheet as the round.
A slide titled ‘Board’ that is actually unpaid friends is a problem. Call them advisors. Keep the board list short and true.
